The attorney will be responsible for a variety of legal matters related to banking, finance, corporate governance, and general business. They should have a strong understanding of the Uniform Commercial Code (UCC), experience conducting due diligence, drafting loan and collateral documents, and reviewing and negotiating loan agreements for sophisticated borrower clients. Additionally, they should possess general corporate law experience advising private companies on corporate governance matters and other general business matters. The ideal candidate should have excellent academic credentials and strong writing, analytical, organizational, leadership, and communication skills. Duties:Conduct due diligence in banking and finance transactionsDraft loan and collateral documents, including those encumbering personal property and real estatePrepare loan modification agreementsReview and negotiate loan and collateral documents for sophisticated borrower clientsAdvise private companies on corporate governance mattersProvide legal counsel on general business mattersConduct legal research and analysisCommunicate effectively with clients, colleagues, and opposing counselManage deadlines and prioritize tasks efficiently Requirements:5+ years of law firm or equivalent experienceExperience in corporate finance and commercial lendingStrong understanding of the Uniform Commercial Code (UCC)Excellent academic credentialsStrong writing, analytical, organizational, leadership, and communication skills Education Certifications:Juris Doctor (J.D.) from an accredited law school This Iowa-based firm was founded more than 150 years ago.
